1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and RLH Global LLC, a New Jersey limited liability company ("RLH Global," "we," "us," or "our").

They govern your use of reginalhenry.com, our newsletters and communications, our events and retreats, and our advisory and coaching services (together, the "Services").

By using our website, subscribing to our communications, or registering for any program, you agree to these Terms. If you don't agree, please don't use the Services.

Our Privacy Policy explains how we handle your personal information and is part of this agreement.

2. Who may use the Services

You must be at least 18 years old and able to enter into a binding contract. If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. What we offer

RLH Global provides leadership advisory services to senior leaders, including:

Written and audio content — articles, newsletters, podcasts, and social content, offered free

Events and retreats — in-person and virtual programs, including Re-Root™

Advisory and coaching engagements — one-to-one and group work, governed by a separate written agreement

Digital resources — worksheets, guides, and templates

Where a separate signed agreement covers an engagement, that agreement controls if it conflicts with these Terms.

4. Registration and payment

Prices. Prices are listed in US dollars and are stated at the point of registration. We may change prices at any time, but a change will never affect a registration you have already completed and paid for.

Payment. Payments are processed by Stripe, ACH, or check/Zelle. By registering, you authorize us to charge the payment method you provide for the full amount shown at checkout. You are responsible for any taxes that apply.

Accuracy. You agree to provide accurate registration information and to keep it current. We may cancel a registration containing information we reasonably believe to be false.

Confirmation. Your registration is complete when we send you a confirmation email. If a payment fails or is reversed, we may cancel the registration.

5. Event registration, cancellations, and transfers

Please read this section carefully before you register.

Registrations are non-refundable

Event and retreat fees are non-refundable. We commit to venues, catering, facilitators, and materials well ahead of an event based on confirmed registrations, and those commitments cannot be undone.

Registrations are transferable

You may transfer your registration to another person at no charge. Email [email protected] up to ten days before the event with your name and the name and email address of the person taking your place. We will confirm the transfer directly with them.

You may also request that we apply your fee as a credit toward a future RLH Global event within twelve months. Credits are granted at our discretion, and we will do our best to say yes when circumstances warrant it.

If we cancel or reschedule

If RLH Global cancels an event, you may choose a full refund or a credit toward a future event. If we reschedule, your registration moves to the new date, and if you can't attend, you may transfer it, take a credit, or request a refund.

We are not responsible for your travel, lodging, or other costs if an event is canceled, rescheduled, or relocated. Please book refundable travel or consider travel insurance.

Attendance and conduct

Our events depend on candor between people who have agreed to be in the room together. You agree to treat other participants, facilitators, staff, and venue personnel with respect, and to hold in confidence what other participants share.

We may remove any participant whose conduct is harassing, discriminatory, threatening, or materially disruptive, without refund.

Recording and photography

We photograph and sometimes record our events for documentation and marketing. By attending, you consent to appear in those materials. If you prefer not to be photographed, tell us at registration or at the event, and we will accommodate you.

You may not record, film, or livestream any portion of an event without our written permission.

6. Advisory and coaching engagements

Advisory and coaching services are governed by a separate written agreement covering scope, fees, and schedule. In addition:

• Our work is professional leadership advisory, not therapy, counseling, medical care, legal advice, or financial advice. If you need those, please consult a licensed professional in that field.

We do not guarantee any particular outcome — including promotion, revenue, retention, hiring, or organizational results. Outcomes depend on many factors outside our control, most of all your own decisions and circumstances.

• What you share in an engagement is treated as confidential, except where disclosure is required by law or necessary to prevent serious harm.

7. Intellectual property

Our content. All content on our website and in our programs — articles, frameworks, worksheets, presentations, recordings, graphics, and text — is owned by RLH Global or used with permission, and is protected by copyright and trademark law.

Our marks. Driver's Seat Leadership™, Re-Root™, Inner Counsel™, and the RLH Global name and logo are our trademarks. You may not use them without our written permission.

What you may do. You may read, download, and print our materials for your own personal and internal professional use. You may quote briefly from our public content with attribution and a link.

What you may not do. You may not reproduce, republish, sell, license, or distribute our materials; use them to train an AI or machine learning model; deliver them as your own training or curriculum; or remove any copyright or trademark notice.

Your content. If you submit testimonials, feedback, survey responses, or comments, you grant us a non-exclusive, worldwide, royalty-free license to use them in our marketing and materials. We will not use your name, title, employer, or likeness in marketing without your separate permission. You keep ownership of what you submit.

8. Acceptable use

You agree not to: use the Services for any unlawful purpose; attempt to gain unauthorized access to our systems or accounts; scrape, crawl, or harvest data from our website or communications; introduce malware; impersonate anyone; or interfere with the operation of the Services or another person's use of them.

9. Third-party links and services

Our website and communications link to third-party sites and rely on third-party services, including Stripe, GoHighLevel, Google, and event venues. We don't control those parties and are not responsible for their content, products, or practices. Your dealings with them are between you and them.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Our content is offered for general educational and informational purposes. It is not professional advice for your specific situation, and reading it does not create an advisory relationship. We do not warrant that the Services will be uninterrupted, error-free, or that any content is complete or current.

11. Limitation of liability

To the fullest extent permitted by law:

We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost business, lost data, or loss of goodwill, even if we were advised such damages were possible.

Our total liability to you for any claim arising out of the Services will not exceed the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those places, these limitations apply only to the extent permitted, and nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

12. Indemnification

You agree to indemnify and hold harmless RLH Global LLC, its members, officers, and employees, Regina L. Henry individually, and our contractors and facilitators from any claims, damages, losses, and reasonable legal fees arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms. You may stop using the Services at any time and unsubscribe from our communications. Sections 7, 10, 11, 12, 14, and 15 survive termination.

14. Governing law and resolving disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.

Talk to us first. If something goes wrong, email [email protected] with a description of the issue and what you'd like us to do. We commit to working with you in good faith for thirty days before either of us starts a formal proceeding. Most problems can be solved this way.

If that doesn't resolve it, the state and federal courts located in Essex County, New Jersey have exclusive jurisdiction, and you and RLH Global each consent to that jurisdiction and venue. Either of us may still bring an individual claim in small claims court.

If you are a consumer resident in the EU or UK, nothing here deprives you of the protection of mandatory consumer laws in your country of residence, or of the right to bring proceedings in your local courts.

15. General

Entire agreement. These Terms and our Privacy Policy are the entire agreement between us about the Services, and supersede any prior understanding, except for a separately signed engagement agreement.

Severability. If any provision is found unenforceable, the rest stays in effect.

No waiver. If we don't enforce a provision, that isn't a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, severe weather, public health emergencies, government action, labor disputes, venue closures, or utility and internet failures.

Changes. We may update these Terms. The revised version will be posted here with a new "Last updated" date and takes effect when posted. Changes will not apply retroactively to a registration you already completed. Your continued use of the Services after a change means you accept it.
